Please read these terms carefully before using our services.

Foundation, Scope, and Contracting Structure

1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “User”), and Deaf Pumpkin Studios, LLC, a limited liability company organized in the State of Delaware, United States, with registered address at 2810 North Church Street, PMB 80252, Wilmington, Delaware 19802, together with DiffLabs Tecnologia LTDA, a company incorporated in Brazil, registered under CNPJ 29.820.713/0001-83, with registered address at Av. Brig. Faria Lima, 2369 - Jardim Paulistano, São Paulo - SP, 01452-922 (collectively, “Numma”, “we”, “us”, or “our”), governing your access to and use of the Numma platform and all related services.

By accessing, browsing, installing, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision contained herein, you must immediately cease all use of the Platform.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of such modifications, regardless of whether you have reviewed them.

2. Contracting Entities and Multi-Jurisdictional Structure

The Platform is operated through a multi-entity structure designed to support global operations, compliance requirements, and service delivery across jurisdictions.

Depending on your location, billing information, or contractual arrangement, you may be contracting with:

  • Deaf Pumpkin Studios, LLC, responsible primarily for operations involving users and organizations based in the United States and other international jurisdictions; or
  • DiffLabs Tecnologia LTDA (CNPJ 29.820.713/0001-83), responsible primarily for operations involving users and organizations based in Brazil.

Notwithstanding the foregoing, you acknowledge and agree that both entities may be involved in providing the Platform, including but not limited to infrastructure, data processing, support, product development, and operational services. These entities may share resources, systems, and data as necessary to operate the Platform effectively.

Numma reserves the right, at its sole discretion, to assign or reassign responsibilities between its affiliated entities without prior notice, provided that such assignment does not materially reduce your rights under these Terms.

3. Scope of the Platform

For purposes of these Terms, the “Platform” refers to the entire ecosystem of services, interfaces, and systems made available by Numma, including but not limited to:

  • the core execution and automation engine;
  • web-based dashboards and administrative interfaces;
  • public-facing pages, including the website and landing pages;
  • desktop applications and related software installations;
  • application programming interfaces (APIs);
  • integrations with third-party systems;
  • artificial intelligence systems capable of interpreting, structuring, and executing user instructions;
  • voice-enabled features and audio-based interactions, where applicable.

The Platform is designed to evolve continuously. Accordingly, Numma may expand, modify, replace, or discontinue any component of the Platform at any time, without obligation to provide prior notice or maintain feature parity.

4. Nature of the Service

The Platform provides an execution layer that enables users to translate intent into structured actions across multiple systems.

In practical terms, this means that the Platform may:

  • interpret user instructions, whether written, structured, or spoken;
  • determine appropriate actions within connected systems;
  • execute operations across those systems based on granted permissions and configuration;
  • coordinate workflows that span multiple tools, environments, or data sources.

The Platform does not operate as a passive interface. It may actively perform actions on behalf of the user, including modifying data, triggering processes, and communicating with external systems, subject to the permissions and controls defined by the user or their organization.

You acknowledge that the Platform functions as an intermediary execution layer and not as the underlying system of record for third-party tools.

5. Absence of Guaranteed Outcomes

While Numma aims to provide reliable and consistent execution, the nature of the Platform inherently depends on multiple external factors, including third-party systems, data quality, user input, and contextual interpretation.

Accordingly, Numma does not guarantee that:

  • all instructions will be interpreted correctly;
  • all actions will be executed as intended;
  • execution will be complete, accurate, or timely in all circumstances;
  • third-party systems will respond as expected or remain available.

You are solely responsible for verifying the results of any action performed through the Platform where accuracy, completeness, or timing is material to your operations.

The Platform should not be relied upon as the sole mechanism for executing critical operations without appropriate review or safeguards.

6. Eligibility and Authority

You may only use the Platform if you:

  • are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction;
  • have the legal capacity to enter into binding agreements;
  • are not prohibited from using the Platform under applicable law.

If you access or use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, “you” and “User” will refer to both you as an individual and the entity you represent.

Numma shall not be responsible for verifying your authority, and any use of the Platform under an organization account will be presumed to be authorized.

7. Accounts, Access, and Responsibility

Access to the Platform may require the creation of an account. You agree to provide accurate, current, and complete information during registration and to maintain such information as necessary.

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activities that occur under your account;
  • ensuring that access to the Platform is restricted to authorized individuals.

You agree not to:

  • share login credentials in a manner that compromises security;
  • allow unauthorized access to the Platform;
  • attempt to bypass authentication or security mechanisms.

Numma reserves the right to suspend, restrict, or terminate access to any account where misuse, suspicious activity, or violation of these Terms is identified.

8. Organizational Use and Administrative Control

Where the Platform is used within an organization, administrative users may be granted control over the environment, including but not limited to:

  • managing user access and permissions;
  • configuring integrations with third-party systems;
  • defining execution policies and approval requirements;
  • accessing logs, records, and activity data generated through the Platform.

If you are an end-user within such an organization, your use of the Platform may be subject to internal policies and controls established by your organization.

Numma shall not be responsible for disputes between users and their organizations regarding access, permissions, or use of the Platform.

9. Integration with Third-Party Services

The Platform may connect to and interact with third-party services, systems, and applications that are not owned or controlled by Numma.

By integrating such services, you acknowledge and agree that:

  • Numma does not control the availability, performance, or behavior of third-party systems;
  • such systems may change, restrict, or discontinue their services at any time;
  • your use of such systems is governed by their respective terms and policies.

Numma shall not be liable for any failure, delay, or error resulting from third-party systems, including any loss of data, interruption of service, or unintended execution outcomes.

10. Permissions and Execution Authority

In order for the Platform to function, you may grant permissions that allow access to and interaction with connected systems.

By doing so, you authorize Numma to:

  • access data within those systems to the extent permitted;
  • perform actions within those systems on your behalf;
  • execute workflows based on your instructions or configured rules.

Execution may occur under different modes, including:

  • immediate execution based on user instruction;
  • execution subject to prior approval;
  • execution triggered by predefined conditions.

You are solely responsible for configuring permissions appropriately and for understanding the scope of actions that may be performed under those permissions.

11. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms.

You shall not:

  • use the Platform in violation of any applicable law or regulation;
  • access or attempt to access systems without proper authorization;
  • use the Platform to engage in fraudulent, deceptive, or harmful conduct;
  • interfere with the integrity, security, or performance of the Platform.

You further agree not to:

  • reverse engineer, decompile, or attempt to extract the underlying structure of the Platform;
  • misuse automation capabilities in a manner that causes harm to individuals, organizations, or systems.

Numma reserves the right to investigate and take appropriate action in response to violations of this section.

12. Platform Evolution and Modifications

The Platform is continuously evolving. Numma reserves the right to:

  • modify, enhance, or discontinue features;
  • introduce new functionalities or limitations;
  • change system behavior or execution logic.

Such changes may occur without prior notice. Numma is not obligated to maintain compatibility with previous versions or user expectations.

13. Experimental and Beta Features

Certain features may be designated as experimental, beta, or early access.

These features are provided “as is” and may:

  • contain errors or inconsistencies;
  • be modified or discontinued at any time;
  • not meet performance or reliability expectations.

Your use of such features is at your own risk.

14. No Professional Advice

The Platform does not provide legal, financial, regulatory, or professional advice of any kind.

Any output generated by the Platform should be reviewed independently where such advice is required.

15. Independent Relationship

Nothing in these Terms shall be construed to create any partnership, joint venture, agency, or fiduciary relationship between you and Numma.

You retain full responsibility for your decisions, operations, and use of the Platform.

16. Language and Interpretation

These Terms may be made available in multiple languages for convenience.

In the event of any inconsistency or conflict, the English version shall prevail.

17. Amendments to Terms

Numma reserves the right to update or modify these Terms at any time.

Updated versions will become effective upon being made available through the Platform or associated channels.

Your continued use of the Platform after such updates constitutes acceptance of the revised Terms.
